Vendor Agreement

Effective Date: April 1, 2026

This Vendor Agreement ("Agreement") governs your use of Cymelicra Market as a seller. By subscribing to a seller plan, you agree to these terms in addition to the general Terms of Service.

1. Platform Fees

  • Early Access Rate: 5% platform fee on all transactions (subject to change — see Section 7)
  • Standard Rate (post-early access): 9% for Standard sellers, 7% for Premium sellers
  • Stripe processing fees: ~2.9% + $0.30 per transaction (charged by Stripe, not GZS)
  • No listing fees. No hidden costs.

The early access rate will convert to the standard rate when the Platform reaches a publicly announced milestone (monthly GMV threshold or active buyer count). You will be notified at least 30 days before the rate change takes effect.

2. Escrow and Payouts

All payments are held in escrow for 72 hours after delivery confirmation. Funds are released to your connected payout account after the escrow period, minus the platform fee. If a buyer disputes during the escrow window, funds are held pending resolution.

3. Product Compliance

You are solely responsible for ensuring that all products you list comply with applicable federal, state, and local laws. The Platform is exclusively for legal gourmet mycology products. Prohibited products include but are not limited to:

  • Psilocybin-containing or psilocybin-adjacent products
  • Controlled substances of any kind
  • Products requiring special licensing that the vendor does not hold
  • Products fraudulently misrepresented in their listing

The Platform does not collect identity documents or perform Know Your Customer (KYC) verification. Vendor identity is verified through Stripe's standard payout account verification process. This privacy-respecting approach places greater responsibility on vendors to self-certify compliance.

4. Vendor Attestation

During seller onboarding, all vendors must accept the following attestation:

"I attest that all listings I create will contain only legally permitted gourmet mushroom products and supplies in my jurisdiction. I understand that listing prohibited psilocybin-related items will result in immediate and irreversible lifetime ban from the Platform, forfeiture of escrowed funds, and potential referral to law enforcement."

This attestation is logged with timestamp, IP address, and user agent for compliance records.

5. Listing Moderation

All listings are subject to automated keyword screening and AI-assisted content classification before publication. New vendors' first three listings require manual review. After three approved listings with no flags, listings are auto-published subject to automated screening. High-severity flags are reviewed within 24 hours. The Platform reserves the right to remove or flag any listing at any time.

6. Fraud and Misrepresentation

Fraudulent representation of products (species, quality, quantity, origin) is a serious violation. The Platform takes all reports of fraud seriously. Confirmed violations result in:

  • Immediate account suspension
  • Forfeiture of all escrowed funds
  • Permanent irreversible lifetime ban — applies to the individual, not just the account
  • Retention of all evidence and moderation records
  • Referral to law enforcement where applicable

7. Shipping and Fulfillment

You are responsible for shipping products within the timeframe stated in your listing. Shipping labels are generated through the Platform's integrated shipping tools. You must provide accurate shipping weights and dimensions. Tracking information must be uploaded before marking orders as shipped.

8. Rate Changes

Platform fees are subject to change. Any fee increase will be announced at least 30 days in advance via email and site notification. You may cancel your seller subscription before the change takes effect.

9. Termination

Either party may terminate this Agreement at any time. Upon termination: pending orders will be fulfilled or refunded, escrowed funds will be released per normal schedule, and your listings will be deactivated. Your seller subscription will be cancelled.

10. Privacy and Data

The Platform does not collect, store, or process identity documents. We do not sell, rent, or share vendor personal data with third parties. Data collection is limited to what is necessary for marketplace operations. See our Privacy Policy for full details.
